Important Information About Procedures for Opening a New Account
To help the government fight the funding of terrorism and money laundering activities, Federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an Account. What this means to you: When you apply for an Account, we will ask for your name, address, date of birth, and other information that will allow us to identify you. We may also ask to see copies of identifying documents. We also ask for your country of citizenship.

Transferring Your Balances. Here's How it Works:
Upon approval of your Application we will provide you with your Business Card Agreement and process the payment to the credit card account which you have requested, resulting in the balance being reduced by the amount of the payment. Only balances from other business credit card accounts or other business related balances may be transferred to this account. Barclays reserves the right to round up your requested payment amount to the nearest whole dollar amount. The amount available on your Barclays Account will be reduced by the amount of the balance transfer. The payment will be shown on your online statement as well as your monthly statement. Your other credit card account will not be closed, even if you have paid your entire balance. You must contact the other credit card company to close your other Account. Barclays reserves the right to decline to process any balance transfer request. We will not process a request to transfer a balance from any other Account you may have with Barclays. It is possible that your credit line amount may be lower than the balance transfer(s) requested. If this should occur, Barclays will process Balance Transfers up to $250 below the credit line.

A balance transfer may take up to 3 weeks to post to your other credit card accounts. Please review your other credit card accounts to determine if you need to make a payment to avoid fees or penalties.

Barclays will allocate your payment to lower APR balances before higher APR balances. This means that your savings will be lower if you engage in transactions that result in balances subject to higher APRs.

Information Sharing:
Barclays' Privacy Policy is available online at www.usairwaysbizcard.com. I agree that Barclays Bank Delaware and US Airways will share information to the extent needed to administer the US Airways Dividend Miles Professional Card in conjunction with the US Airways Dividend Miles Rewards Program. New enrollees in Dividend Miles will automatically be registered to receive e-statements and marketing offers from US Airways, including select partner offers. To modify your communications preferences, log into your account at www.usairways.com or call US Airways at 1-800-428-4322.

US Airways Dividend Miles Reward Program:
(a) Dividend Miles® is a frequent flyer program offered by US Airways and is not a product or program of Barclays Bank Delaware ("Barclays"). US Airways is solely responsible for establishing the terms and conditions of your participation and subsequent mileage accumulation in the Dividend Miles program. All Dividend Miles terms and conditions apply. US Airways may change the Dividend Miles program regulations at any time with or without prior notice. Barclays is solely responsible for all credit and eligibility standards and determination of card issuance. US Airways is not responsible for any goods or services offered by Barclays or any merchants referred to in this offer.

(b) When you (the "Signing Individual") applied for the US Airways Dividend Miles BusinessCard Account issued by Barclays, you were asked whether the Signing Individual was a member of the US Airways Dividend Miles Reward Program (the "Program"). If you answered yes and gave us the Signing Individual's membership number, we will not issue a different membership number to you. If you answered no or did not give us the membership number, we will issue the Signing Individual a membership number and ask US Airways to enroll the Signing Individual in the Program. Only one (1) Program membership will be established regardless of whether your Account is an individual account or an account with an authorized user. If the Account has an authorized user, we will enroll only the Signing Individual. The Signing Individual can be eligible to receive and redeem "mileage credit" subject to the Terms and Conditions of the Dividend Miles program.

(c) On the closing date of each billing cycle that the Account remains open and current, we will report to US Airways the Net Purchases charged to the Account during a billing cycle and request that US Airways award mileage credit as set forth in paragraphs (f) (g). If your Account is not open and/or current on the date a billing cycle closes, we will report no Net Purchases to US Airways for that billing cycle. We will ask that mileage credit be awarded to the Signing Individual regardless of who made the "Purchase", unless however the Signing Individual has elected to have each Cardmember receive mileage credit based on their individual card purchases ("Eligible Cardmember") as set forth in paragraph (d). "Net Purchases" for a billing cycle are determined by totaling all new Purchases added to the Account during the billing cycle, and then subtracting credits posted to the Account during the period for returned Purchases and/or adjustments. For purposes of reporting Net Purchases, we may round up or down to whole dollar amounts. If credits for returned Purchases exceed new Purchases during a billing cycle, we will report negative Net Purchases and ask US Airways to reduce the Signing Individual's or Eligible Cardmember's accrued mileage credit accordingly. Mileage accumulation is subject to certain limitations, exclusions and restrictions. There is no limit to the number of Dividend Miles which may be earned. Net Purchases does not include fees, charges, finance charges, credit insurance premiums, or transactions posting as Cash Advances or non-qualifying Balance Transfers, whether received from financial institutions, automated teller machines, by use of Barclays checks, or by any other means. We reserve the right to exclude from Net Purchases unauthorized Purchases, Purchases which are added to your Account after you are past due or over your credit line. We may ask US Airways to withdraw mileage credit previously awarded if your Account is more than sixty (60) days past due, or if the mileage credit was awarded on Purchases not authorized by you. We are not responsible to award mileage credit under the Program, to arrange or provide for any services related to travel or the use of mileage credit, for any delay, failure, or refusal by US Airways to award or redeem mileage credit, or for any decision by US Airways to revoke or cancel mileage or membership in the Program.

(d) The Signing Individual may elect to have mileage credits accrue to each individual Cardmember as determined by the Net Purchases made on that individual's card ("Individual Rewards"). The Signing Individual must contact us to establish Individual Rewards, and provide us the Dividend Miles membership number of each Eligible Cardmember. Once an Account is set for Individual Rewards, each Cardmember becomes an Eligible Cardmember. In the event a membership number is not provided for an Eligible Cardmember, Net Purchases made on those cards will not earn miles and they are forfeited. The Signing Individual agrees to waive any rights to future mileage credits earned on purchases made by an Eligible Cardmember and agrees that those miles will accrue directly to each Eligible Cardmember for whom we have been provided a valid Dividend Miles membership number. The Signing Individual may at any time eliminate Individual Rewards on the Account by contacting us, at which time all Eligible Cardmembers become Cardmembers and all future mileage credit will be awarded to the Signing Individual. All other terms and conditions herein apply.

(e) We will show on your monthly Account statement the Signing Individual's or Eligible Cardmember's accrued mileage credits as reflected in our records. You understand that there will be a delay between the date you make a Purchase, the date we report Net Purchases to US Airways, and the date that US Airways acts upon the information, and that, for this and other reasons, our records and the records of US Airways regarding the Signing Individual's or Eligible Cardmember's accrued mileage may differ. You understand and agree that mileage credit is not received by the Signing Individual or Eligible Cardmember until awarded by US Airways, and that, in the event of any discrepancy between our records and US Airways records of the Signing Individual or Eligible Cardmember's accrued mileage credits, the records of US Airways will control.

(f) For the US Airways Dividend Miles $79 Annual Fee BusinessCard, US Airways will award one (1) mile for every one dollar ($1.00) of Net Purchases made with your Account, rounded to the nearest dollar and two (2) miles will be awarded for every one dollar ($1.00) of Net Purchases made with your Account of all US Airways goods and services purchased directly from US Airways, including any eligible fare ticket for flights completed by US Airways, the US Airways Express carriers, US Airways Shuttle and US Airways Vacations, rounded to the nearest dollar, excluding purchases made from US Airways Cruises. You understand and agree that, unless we otherwise state, you are no longer eligible to receive these bonuses and/or awards for any new US Airways BusinessCard account you open after this Account is opened. If you receive a bonus or award for which you are not eligible, we may direct US Airways to revoke the bonus or award, or reduce your mileage credit by the amount of the award, or charge your Account for the fair value of the bonus or award, at our option.
